Service Agreement

The Provider (Digital Product Services, LLC, hereinafter "Productea") commits to providing digital product design and/or software development services to the Client, according to the specifications established in this agreement and the selected plan.

Depending on the plan, services may include:

Product Design

• Web and mobile app design
• Design systems, style guides and visual components
• Wireframes, prototypes and high-fidelity mockups
• Investor decks, pitch decks and corporate dossiers
• Banners, digital creatives and email design
• Product analysis, UX consulting and accessibility audits
• Product-market fit and product documentation

AI Development (With AI development plans only)

• Full-stack development (Next.js, React, TypeScript, Supabase)
• Authentication, database and payment integration
• Automated deployment on Vercel/AWS
• AI workflow implementation (Claude, OpenAI, Cursor)
• Scalable architecture and basic DevOps

Delivery formats: designs in Figma (.fig), PNG, JPG or PDF. Code delivered in the Client's GitHub repository in branches.

• One Shot: closed project with defined scope. Includes iterations until Client satisfaction.
• Pro: monthly subscription with one active project at a time. Ideal for startups with a continuous roadmap.
• Enterprise: monthly subscription with multiple concurrent projects. For teams needing more capacity and faster delivery.

Each plan is available in "Design only" and "With AI development" modes, with differentiated rates published on the pricing page. Discounts are non-transferable. Upon expiration, regular rates apply.

Design deliverables are delivered on business days (Monday to Friday). Timelines vary by complexity and are communicated in advance.

For development projects, the full cycle (brief to deploy) is estimated at 6-8 weeks depending on scope. The Client has the right to unlimited iterations.

Payments are processed through Stripe. The Client receives a detailed invoice with each charge. Monthly billing occurs every 31 calendar days. The Client must provide a valid payment method authorizing recurring charges.

The Client may cancel or pause their monthly subscription at any time. Once a new period charge is made, a maximum period of 5 calendar days is granted to formally notify Productea of the cancellation or pause intent via Slack or email.

Failure to notify within 72 hours of the charge constitutes automatic renewal for the full period without refund rights. Upon proper notification, a full refund is issued minus the Stripe processing commission.

Remaining subscription days are preserved on pause and can be resumed when needed.

All designs, source code, materials and deliverables created by the Provider during the contract become the exclusive property of the Client upon full payment. The Provider waives all property rights over delivered work.

Source code is hosted in the Client's GitHub repository from day one. Designs are maintained in the Client's Figma workspace. IP is 100% the Client's with no lock-in.

The Provider guarantees the originality of the work and that it does not infringe third-party IP rights, except for duly licensed and identified open-source components.

The Client acknowledges and accepts that Productea uses artificial intelligence tools (including, without limitation, Claude by Anthropic, Cursor, OpenAI and proprietary workflows) as an integral part of its software design and development process.

Code and materials generated with AI assistance undergo a review and validation process by the Provider's senior team before delivery. However, the Client assumes responsibility for performing their own verifications, tests and validations before deploying any deliverable to production.

The Provider does not guarantee that AI-assisted results are completely free of errors, inaccuracies or vulnerabilities. Consequently, the Provider shall not assume any liability for direct or indirect damages derived from the use of deliverables that have not been duly reviewed and validated by the Client or their technical team before implementation in production environments.

The Client is strongly recommended to perform security audits, quality assurance (QA) testing and independent code reviews prior to deploying any software developed under this agreement.

Both parties commit to maintaining the confidentiality of all information and documentation exchanged during the contract term and thereafter, including project details, design strategies, source code and sensitive business information.

Productea signs NDAs upon Client request before project kickoff. Confidentiality extends to workflows, code repositories and any data accessed by the Provider's team.

The Provider's services do not include:

• 3D modeling and complex animations
• Physical packaging design
• Extensive technical or legal documents
• Continuous infrastructure maintenance (24/7 DevOps)
• End-user support for the Client's product

If the Client does not submit any requests during an active subscription month, no refund will be issued. The subscription covers service availability, not actual usage.

A "request" is defined as a specific Client petition for the creation or modification of a design or code deliverable. Each request must include:

• Clear and detailed description of the desired deliverable
• Specific objectives aligned with the Client's goals
• Client-provided materials (images, text, references)
• Desired timeline considering complexity

The Provider reserves the right to divide oversized requests into manageable tasks.

The contract has a minimum validity of 30 days from signature. It auto-renews monthly unless cancelled. The Client accepts that no refund will be issued if requests are not submitted within the period.

Either party may terminate the contract with 7 days written notice. Upon early termination, the Client pays for services rendered through the termination date.

The Provider shall not be liable for indirect, special, incidental or consequential damages, including but not limited to loss of profits, business interruption or data loss, even if warned of such possibility.

In any event, the Provider's total cumulative liability shall not exceed the total amount paid by the Client during the last 3 calendar months of service.

The Provider shall not be liable for failure to perform when caused by circumstances beyond reasonable control, including natural disasters, pandemics, armed conflicts, strikes, third-party service interruptions or technological infrastructure failures.

The Client commits not to use designs or developed code for illegal, immoral purposes, or third-party rights infringement. The Provider reserves the right to reject requests violating this clause.

No exclusivity relationship is established. The Provider may serve other clients without restriction. However, during the contract, the Provider will not work with direct competitors without prior Client notice and consent. All Client-specific resources are exclusive and will not be reused.

Productea operates under an asynchronous work model optimized for efficient deliverable execution. Communication is primarily through Slack and the Client dashboard, prioritizing written documentation over meetings.

Meeting limits per plan:

• Pro: maximum 1 hour per week
• Enterprise: maximum 2 hours per week

Meetings are exclusively for strategic reviews, structured feedback or resolving critical blockers. Available hours: 09:00-15:00 (CET), Monday to Friday.

The Provider delivers all necessary resources (Figma designs, GitHub code, images, documentation). Upon cancellation, a master copy of all files is provided. The Client is responsible for maintaining their own backups.

The Client understands that Productea's service model does not imply the assignment of a full-time exclusive designer or team. The focus is on continuous value delivery and concrete results, not hours worked.

No fixed hourly availability or real-time response is guaranteed. Asynchronous work follows active priorities within established delivery timeframes.

This agreement is governed by Spanish law. For any dispute, the parties submit to the jurisdiction of the courts of Barcelona, Spain.
